Client Responsibility:

failure to follow these procedures will result in the loss of your $1,000 damage deposit:

  • NO TAPE: Do not use any tape or adhesive (painters tape, gaft tape, command strips, etc.) or attach anything to any surface in the venue including walls, floors, stage or furniture. It is your responsibility to inform your DJ, florist, decorators and any other vendors of this policy.
  • NO CONFETTI: Nothing can be thrown or tossed inside or outside of the building such as confetti, rose petals, rice, etc.
  • ALCOHOL: If alcohol is provided, there must be a TABC licensed bartender serving the guests.
  • CATERING: Caterer is responsible for clearing all tables, removing trash, and returning the prep kitchen it to it's original state.
  • TRASH: All trash must be removed and placed inside the dumpster out back of the property, do not leave any food in ballrooms, refrigerator, kitchen or suites. Trash receptacles are provided by the venue, but trash bags are not included.
  • TIMING: Remove all personal items brought by the customer and their vendors by the contracted end time.

Terms & Conditions

This Site Rental Agreement (the "Agreement") is made and entered into to be effective as of August 17, 2023 (the "Effective Date"), by and between JYVV LLC, a Texas limited liability company doing business as Verona Villa (“Verona Villa"), and the undersigned (the "Renter").

WITNESSETH:By executing this Agreement, the Renter agrees to rent from Verona Villa the property located at 6591 Dallas ParkwayFrisco, TX 75034 (the “Venue”) on the following date: Saturday, February 10, 2024, from the times indicated within the Event Summary and Event Proposal , for the purpose of (the “Event”).

. 1. Verona Villa Services: For and in consideration of the payments described in Sections 2 and 3 hereof, Verona Villa agrees to deliver access to the Venue to the Renter on the Event Date. Verona Villa agrees to prepare and deliver the Venue in a form suitable for the Event.

2. Non-Refundable Deposit: For the purpose of reserving the right to rent the Venue from Verona Villa on the Event Date, the Renter agrees to pay a NON-REFUNDABLE DEPOSIT in the amount of $4,555.20 (“Deposit”). The Renter acknowledges that the Deposit is non-refundable and that the Renter will not be entitled to a refund of the Deposit due to the Renter’s cancellation of this Agreement. Deposit payments made via check must clear Verona Villa's bank in order for the Event Date to be reserved. The Deposit will be credited toward Renter’s obligations under Section 3 hereof.

3. Payment Schedule: In addition to the Deposit contemplated in Section 2 hereof, for and in consideration of renting the Venue from Verona Villa on the Event Date, the Renter agrees to make the following NON-REFUNDABLE payments to Verona Villa in the amount specified above according to the included schedule (the “Payment Schedule”). The Renter acknowledges that the payments made in accordance with the Payment Schedule are non-refundable and that the Renter will not be entitled to a refund of any payment due to the Renter’s cancellation of this Agreement. No services named in this Agreement will be rendered, delivered, or otherwise available if Renter is not in compliance with the Payment Schedule as of the date required.

4. Security Deposit: Renter shall pay to Verona Villa a refundable security and trash deposit in the amount of One Thousand Dollars ($1,000.00) (the “Security Deposit”), which shall be applied to the repair of any damage to the Venue or cleaning expenses incurred by Verona Villa to restore the Venue to its pre-rental condition. The balance of the Security Deposit, if any, shall be returned to Renter within ten (10) business days of the Event Date. Renter acknowledges that the Security Deposit is a deposit against damages and not liquidated damages. Verona Villa reserves the right to pursue Renter for all costs of any damages caused by Renter or its Vendors or guests.

5. Renter’s Obligations: Renter and all Event guests shall abide by the guidelines and policies of the management of Verona Villa and all state and local laws and ordinances. Renter shall inform Event guests of their obligations to abide by the guidelines and policies of the management of Verona Villa. In the event that a safety hazard is discovered or damage occurs to the Venue, Renter shall notify or cause to notify a Verona Villa employee of the hazard or damage as quickly as practicable. Renter shall take all reasonable precautions to ensure that no Event guest poses a danger to himself or others. No Event guest shall operate a vehicle while intoxicated, whether on or off the property of Verona Villa, and the Renter shall take all necessary steps to prevent same. Renter shall return the Venue to Verona Villa in substantially the same condition as Renter received it.

6. Indemnification: Renter agrees to indemnify and hold harmless Verona Villa and its affiliates, owners, directors and other officers, employees, agents and permitted delegates (together, the “Indemnified Parties”) against any and all liabilities, obligations, losses, damages, penalties, actions, judgments, claims, demands, suits, costs, expenses, or disbursements of any kind or nature whatsoever that may be imposed on, incurred by, or asserted against any of them (“Losses”) in connection with the rendering of the services under this Agreement, except to the extent the Losses resulted from the gross negligence or willful misconduct on the part of Verona Villa or any other Indemnified Party. The parties agree and acknowledge that Verona Villa will not be liable or responsible for any failure to perform hereunder to the extent such failure is caused by a "force majeure" event or any other event or circumstance beyond Verona Villa's reasonable control.

7. Third-Party Contracts: To facilitate the planning of the Event, Verona Villa may recommend third-party vendors (the “Vendors”) to Renter. Verona Villa, in good faith, is acting as an intermediary only between the Vendors and Renter for purchases of event-related services and products that are not directly supplied by Verona Villa, including but not limited to catering, photography, music, and alcoholic beverage services. Renter acknowledges that the Vendors are not employees, partners, subcontractors, or agents of Verona Villa and that Verona Villa has no control over the Vendors. Renter further acknowledges that Renter shall enter into separate agreements with the Vendors, per the policies and procedures of the Vendors, and that Verona Villa shall not be a party to these agreements unless otherwise determined by Verona Villa.

8. Disclaimer of Third-Party Liability: Renter agrees that the Event shall be held solely at the risk of the Renter. Verona Villa researches a variety of Vendors and attempts to recommend reputable Vendors, but Verona Villa has no control over any Vendor and does not participate in the operation of any Vendor’s business. Renter shall therefore indemnify and hold Verona Villa harmless and not hold Verona Villa responsible for any omissions, errors, breaches of contract, damages, delays, injuries, inconveniences, acts (known or unknown) committed, by any Vendor or the officers, employees, agents, or subcontractors of any Vendor. Renter shall hold Verona Villa harmless and not responsible for the failure of any Vendor, or the failure of any officers, employees, agents, or subcontractors of any Vendor, to comply with any local or federal laws. Renter shall hold Verona Villa harmless and not responsible for the insolvency, receivership, bankruptcy, liquidation, or similar condition of any Vendor or subcontractor of any Vendor.

9. Cancellations and Penalties: Cancellations of this Agreement are permitted only when received in writing and in any event no later than thirty (30) days prior to the Event Date. In the event of a cancellation, Renter will not be entitled to a refund of any monies paid under this Agreement; however, Renter will not be required to make any future payments in connection with this Agreement.

10. Weather Related Issues: Verona Villa does not issue refunds for any reason, including inclement weather. The Renter assumes all risk and hardships involved with having an outdoor event. Verona Villa encourages the Renter to prepare a contingency plan in advance of the Event Date. If inclement weather conditions make it impossible to host the Event, Verona Villa may, in its sole discretion, agree to reschedule the Event on a mutually agreeable date within twelve (12) months of the original Event Date.

11. Non-Disparagement and Media Release: The parties agree not to disparage or defame each other, or any members, managers, officers, employees, contractors, agents, attorneys or affiliates of any party, in any print, electronic or social media, including but not limited to newspapers, news broadcasts, blogs, internet message boards, or personal social media accounts. This restriction is not intended to restrict either party’s right to free speech, but rather is intended to protect the parties. In the event of a dispute related to this Agreement, the parties agree to make all reasonable efforts to maintain civility and privately reach a mutually agreeable resolution. [Renter grants Verona Villa permission to use the Renter’s name, image, and likeness for use on any and all of the Verona Villa’s marketing materials, including but not limited to any press releases, advertisements, websites, or social media pages.

12. Governing Law: This Agreement shall be construed and enforced in accordance with the laws of the State of Texas and shall be performable in Collin County, Texas.

13. Waiver and Other Action: This Agreement may be amended, modified, or supplemented only by a written instrument executed by the parties against which enforcement of the amendment, modification, or supplement is sought.

14. Counterparts: This Agreement may be executed in multiple counterpart copies, each of which will be considered an original and all of which constitute one and the same instrument. Any counterpart transmitted by facsimile or electronic mail shall have the same force and effect as an original.

By signing, the Renter acknowledges that the Renter understands and accepts the terms and conditions of this Agreement and has the legal right and authority to enter into this Agreement. Verona Villa shall be held harmless and not responsible for any resulting disputes, proceedings, actions, or similar events taken by any person associated with the Renter (including but not limited to partners, associates, family members, fiancés, and fiancées) arising due to the Renter agreeing to and signing this Agreement. By Approving of this Event Proposal, you acknowledge that you have read and agree to all of the terms and condition listed in the Event Summary and Event Policies.
